Abstract: As transferências de marcas, que podem ser através do licenciamento e/ou da cessão, constantemente incorrem em problemas judiciais recorrentes, na medida em que os contratos, são elaborados por pessoas diferentes, profissionais ou não e com certa liberdade, conforme dispõe a legislação. Diante disso, verificam-se diversos problemas, tais como transferências de marcas não registradas, confusão entre licença e cessão na hora da transferência, dentre outros que serão apresentados durante o trabalho. Tais problemas podem ser solucionados com a orientação das partes e a redação adequada do contrato de transferência de marcas. Assim, este trabalho tem como objetivo o desenvolvimento de um método para geração automática de algumas cláusulas contratuais para transferência de marcas, baseado na identificação e utilização de banco de dados de jurisprudência envolvendo a transferência desses ativos. O método permite a elaboração, utilizando-se de um sistema de checklist de um conjunto de cláusulas que, de forma padronizada e com segurança jurídica, entrega um conjunto de cláusulas típicas de um contrato, juntamente com aquelas extraídas de questões encontradas na jurisprudência. Quanto à metodologia, trata-se de uma abordagem mista (quantitativa e qualitativa), com pesquisa exploratória e revisão bibliográfica. Os resultados obtidos mostram que o método apresenta uma solução adequada à problemática encontrada, tendo como passo lógico seguinte, sua evolução para um software/aplicativo.Trademark transfers, which may be through licensing and/or assignment, constantly incur recurring legal problems, as contracts are sometimes drawn up by different people, professional or not, and with a certain amount of freedom, as provided by the legislation. In view of this, there are several problems, such as transfers of unregistered brands, confusion between license and assignment at the time of transfer, among others that will be presented during this work. Such problems can be solved with the orientation of the parties and the adequate wording of the trademark transfer agreement. Thus, this work aims to develop a method for automatically generating some contractual clauses for the transfer of trademarks, based on the identification and use of a jurisprudence database involving the transfer of these assets. The method allows the elaboration, using a checklist system, of a set of clauses that, in a standardized way and with legal security, delivers a set of typical clauses of a contract, together with those extracted from issues found in jurisprudence. As for the methodology, it is a mixed approach (quantitative and qualitative), with exploratory research and bibliographic review.
